release_v he_o and_o their_o trust_n to_o such_o person_n and_o person_n as_o the_o say_v select_a committee_n for_o the_o time_n be_v shall_v appoint_v trust_n that_o the_o mine_n be_v grant_v to_o the_o new_a trustee_n upon_o trust_n provide_v always_o and_o it_o be_v hereby_o covenant_v declare_v and_o agree_v by_o and_o between_o all_o the_o say_a party_n to_o these_o present_n that_o all_o and_o every_o the_o say_a mine_n and_o premise_n with_o the_o appurtenance_n above_o hereby_o grant_v bargain_v or_o assign_v or_o mean_v mention_v or_o intend_v to_o be_v hereby_o grant_v bargain_v or_o assign_v be_v hereby_o declare_v to_o be_v grant_v bargain_v and_o assign_v to_o the_o say_a sir_n joseph_n herne_n sir_n william_n hedges_n sir_n thomas_n vernon_n and_o thomas_n pit_n their_o executor_n administrator_n and_o assign_v upon_o the_o several_a trust_n and_o confidence_n and_o to_o the_o several_a uses_n intent_n and_o purpose_n and_o under_o the_o several_a condition_n and_o limitation_n herein_o after_o mention_v and_o set_v forth_o that_o be_v to_o say_v thereof_o the_o declaration_n thereof_o that_o if_o the_o say_a sir_n humphrey_n mackworth_n shall_v at_o any_o time_n within_o the_o space_n of_o twenty_o day_n next_o ensue_v the_o date_n hereof_o or_o within_o the_o space_n of_o six_o day_n next_o after_o the_o seal_v and_o delivery_n of_o these_o present_n by_o the_o party_n above_o mention_v and_o every_o of_o they_o propose_v and_o open_v to_o the_o say_a partner_n or_o such_o of_o they_o as_o shall_v appear_v at_o a_o general_n meeting_n a_o expedient_a for_o clear_v and_o satisfy_v all_o the_o debt_n wherewith_o the_o say_a mine_n now_o stand_v charge_v and_o for_o raise_v the_o say_v twenty_o thousand_o pound_n for_o a_o stock_n for_o carry_v on_o the_o work_v of_o the_o say_a mine_n without_o any_o premium_fw-la or_o repayment_n of_o either_o principal_a or_o interest_n to_o the_o intent_n that_o the_o say_v partner_n may_v become_v adventurer_n with_o he_o in_o such_o new_a method_n as_o shall_v be_v so_o propose_v for_o the_o purpose_v aforesaid_a in_o proportion_n to_o their_o several_a interest_n and_o share_n they_o now_o have_v in_o the_o say_a mine_n or_o so_o many_o of_o they_o as_o shall_v think_v fit_a to_o become_v adventurer_n with_o the_o say_a sir_n humphrey_n mackworth_n and_o shall_v at_o any_o time_n before_o the_o first_o day_n of_o august_n next_o ensue_v the_o date_n of_o these_o present_n pay_v or_o cause_n to_o be_v pay_v to_o such_o of_o the_o say_a partner_n who_o shall_v within_o the_o space_n of_o six_o day_n next_o after_o the_o say_a proposal_n shall_v be_v make_v and_o open_v by_o the_o say_a sir_n humphrey_n mackworth_n to_o the_o say_a partner_n as_o aforesaid_a declare_v that_o they_o will_v not_o engage_v with_o the_o say_a sir_n humphrey_n mackworth_n according_a to_o such_o proposal_n but_o will_v under_o their_o hand_n and_o seal_n release_v and_o relinquish_v their_o share_n and_o interest_n in_o the_o say_a mine_n constitution_n the_o partner_n have_v 10_o day_n after_o the_o proposal_n make_v to_o elect_a whether_o they_o will_v take_v 10_o l_o in_o money_n and_o 10_o l_o per_fw-la share_n on_o the_o credit_n of_o the_o mine_n or_o else_o become_v adventurer_n again_o under_o a_o new_a constitution_n ten_o pound_n for_o every_o share_n of_o such_o person_n who_o shall_v so_o relinquish_v their_o share_n and_o interest_n therein_o within_o the_o time_n aforesaid_a the_o intent_n of_o these_o present_n be_v that_o it_o shall_v be_v at_o the_o election_n of_o the_o say_a partner_n and_o every_o of_o they_o either_o to_o become_v adventurer_n or_o adventurer_n with_o the_o say_a sir_n humphrey_n mackworth_n according_a to_o the_o intend_a proposal_n or_o to_o relinquish_v their_o share_n in_o the_o say_a mine_n for_o ten_o pound_n per_fw-la share_v within_o the_o time_n aforesaid_a and_o ten_o pound_n per_fw-la share_v to_o be_v secure_v as_o hereafter_o be_v mention_v which_o election_n every_o of_o the_o say_a partner_n shall_v make_v within_o the_o space_n of_o ten_o day_n next_o after_o such_o proposal_n so_o as_o aforesaid_a shall_v be_v make_v that_o then_o and_o in_o such_o case_n the_o say_a sir_n joseph_n herne_n sir_n william_n hedges_n sir_n thomas_n vernen_fw-ge and_o thomas_n pitt_n their_o executor_n administrator_n and_o assign_v shall_v and_o will_v stand_v possess_v and_o entrust_v with_o the_o say_a mine_n in_o trust_v out_o of_o the_o clear_a profit_n that_o shall_v be_v make_v by_o and_o from_o the_o say_a mine_n to_o pay_v to_o every_o such_o of_o the_o say_a partner_n who_o shall_v in_o manner_n aforesaid_a relinquish_v their_o share_n in_o the_o say_a mine_n the_o further_a sum_n of_o ten_o pound_n for_o every_o share_n so_o to_o be_v relinquish_v and_o so_o charge_v shall_v and_o will_v permit_v and_o suffer_v the_o say_a sir_n humphrey_n mackworth_n and_o such_o other_o person_n or_o person_n his_o and_o their_o assignee_n and_o assignee_n to_o be_v make_v in_o manner_n as_o herein_o be_v direct_v and_o in_o such_o proportion_n manner_n and_o form_n as_o the_o say_a sir_n humphrey_n mackworth_n under_o his_o hand_n and_o seal_n shall_v direct_v and_o appoint_v from_o time_n to_o time_n and_o at_o all_o time_n hereafter_o during_o the_o say_a several_a and_o respective_a term_n of_o year_n abovementioned_a and_o according_a to_o and_o in_o such_o manner_n as_o shall_v be_v contain_v in_o such_o proposal_n as_o shall_v be_v make_v by_o the_o say_a sir_n humphrey_n mackworth_n pursuant_n to_o the_o agreement_n herein_o contain_v to_o manage_v the_o say_a mine_n and_o premise_n and_o to_o enjoy_v the_o profit_n thereof_o and_o to_o dispose_v of_o the_o oar_n now_o raise_v out_o of_o the_o say_a mine_n to_o his_o and_o their_o own_o proper_a use_n and_o uses_n and_o to_o such_o other_o use_v and_o uses_n as_o the_o say_a sir_n humphrey_n mackworth_n shall_v under_o his_o hand_n and_o seal_v limit_n and_o appoint_v according_a to_o the_o constitution_n above_o set_v forth_o and_o to_o the_o true_a intent_n and_o mean_v of_o these_o present_n and_o such_o proposition_n as_o shall_v be_v so_o make_v by_o the_o say_a sir_n humphrey_n mackworth_n as_o aforesaid_a condition_n the_o condition_n but_o in_o case_n the_o say_a sir_n humphrey_n mackworth_n shall_v be_v obstruct_v by_o the_o say_a partner_n or_o any_o of_o they_o or_o any_o other_o person_n or_o person_n whatsoever_o and_o thereby_o or_o in_o default_n of_o make_v such_o proposition_n as_o aforesaid_a or_o by_o any_o other_o way_n and_o mean_n whatsoever_o he_o shall_v make_v default_n of_o payment_n of_o ten_o pound_n within_o the_o time_n aforesaid_a to_o such_o of_o the_o say_a partner_n who_o shall_v within_o the_o space_n of_o ten_o day_n next_o after_o the_o say_a proposal_n shall_v be_v make_v by_o the_o say_a sir_n humphrey_n mackworth_n to_o the_o say_a partner_n as_o aforesaid_a declare_v that_o they_o will_v not_o engage_v with_o the_o say_a sir_n humphrey_n mackworth_n according_a to_o such_o proposal_n but_o will_v under_o their_o hand_n and_o seal_n release_v and_o relinquish_v their_o share_n and_o interest_n in_o the_o say_a mine_n for_o every_o share_n of_o such_o person_n who_o shall_v so_o relinquish_v their_o share_n and_o interest_n therein_o within_o the_o time_n aforesaid_a according_a to_o the_o true_a intent_n and_o meaning_n of_o these_o present_n and_o of_o all_o the_o party_n thereunto_o that_o then_o these_o present_n and_o every_o covenant_n grant_v and_o clause_n herein_o contain_v shall_v cease_v determine_v and_o be_v utter_o void_a to_o all_o intent_n and_o purpose_n whatsoever_o as_o if_o the_o same_o have_v never_o be_v have_v or_o make_v any_o thing_n in_o these_o present_n to_o the_o contrary_a thereof_o contain_v in_o any_o wise_n notwithstanding_o and_o that_o then_o and_o from_o thenceforth_o it_o shall_v and_o may_v be_v lawful_a to_o and_o for_o the_o say_a trustee_n and_o partner_n and_o to_o and_o for_o the_o say_v edward_n pryse_n and_o his_o assign_v and_o every_o of_o they_o respective_o into_o all_o and_o singular_a the_o say_a mine_n oar_n mineral_n and_o premise_n by_o they_o respective_o grant_v as_o aforesaid_a to_o re-enter_a and_o the_o same_o to_o have_v again_o as_o in_o his_o and_o their_o several_a and_o respective_a former_a estate_n and_o estate_n and_o to_o the_o use_n of_o the_o several_a and_o respective_a party_n according_a to_o their_o several_a and_o respective_a interest_n and_o share_n abovementioned_a and_o according_a to_o the_o old_a constitution_n and_o method_n of_o management_n of_o the_o say_a mine_n in_o the_o say_v recite_v deed_n mention_v and_o contain_v and_o not_o otherwise_o any_o thing_n
by_o order_n under_o their_o hand_n summon_v a_o particular_a meeting_n or_o grand_a committee_n to_o be_v hold_v at_o such_o time_n and_o place_n as_o they_o shall_v appoint_v within_o the_o city_n of_o london_n committee_n seven_o of_o the_o private_a committee_n may_v at_o any_o time_n summon_v a_o grand_a committee_n by_o hang_v up_o a_o public_a notice_n thereof_o in_o write_v on_o the_o first_o pillar_n on_o the_o right_a hand_n near_o the_o south-gate_n or_o entrance_n into_o the_o royal-exchange_n london_n and_o at_o the_o usual_a place_n of_o meet_v ten_o day_n before_o the_o time_n appoint_v which_o shall_v be_v deem_v accept_v and_o take_v as_o a_o good_a summons_n of_o a_o grand_a committee_n to_o all_o intent_n and_o purpose_n whatsoever_o office_n book-keeper_n and_o the_o faithful_a discharge_n of_o his_o say_a office_n and_o to_o make_v and_o keep_v true_a account_n and_o true_a entry_n of_o all_o order_n make_v by_o the_o say_v several_a meeting_n and_o of_o all_o letter_n account_n buy_n selling_n do_n contract_n bargain_n agreement_n or_o deal_n whatsoever_o respect_v concern_v or_o in_o any_o wise_a relate_n to_o the_o say_a mine_n stock_n and_o premise_n in_o such_o book_n for_o that_o purpose_n provide_v and_o in_o such_o manner_n and_o form_n and_o method_n as_o shall_v be_v from_o time_n to_o time_n ordered_n and_o direct_v by_o the_o majority_n of_o the_o say_a committee_n or_o private_a meeting_n as_o aforesaid_a and_o in_o default_n thereof_o shall_v and_o may_v be_v suspend_v from_o the_o execution_n of_o his_o say_a office_n by_o the_o say_v select_a committee_n or_o the_o major_a number_n of_o they_o present_a at_o a_o private_a meeting_n office_n and_o in_o default_n of_o payment_n of_o what_o shall_v be_v due_a to_o any_o one_o of_o the_o proprietor_n to_o forfeit_v his_o office_n and_o to_o the_o intent_n that_o right_o and_o justice_n may_v be_v do_v to_o all_o party_n concern_v without_o fraud_n deceit_n or_o delay_v it_o be_v hereby_o further_o provide_v declare_v and_o agree_v by_o and_o between_o all_o the_o say_a party_n to_o these_o present_n that_o in_o case_n the_o say_a cashkeeper_n for_o the_o mine_n or_o their_o assign_v for_o the_o time_n be_v such_o sum_n or_o sum_n of_o money_n as_o shall_v be_v in_o his_o hand_n and_o shall_v be_v due_a to_o any_o of_o they_o and_o appoint_v to_o be_v pay_v as_o herein_o set_v forth_o by_o the_o space_n of_o one_o month_n after_o demand_n that_o then_o an_o affidavit_fw-la be_v make_v before_o a_o master_n in_o chancery_n by_o two_o credible_a witness_n of_o such_o demand_n and_o deliver_v to_o the_o say_v select_a committee_n the_o say_a cash_n keeper_n shall_v be_v discharge_v by_o the_o say_v select_a committee_n of_o his_o say_a in_o the_o premise_n shall_v have_v free_a access_n to_o inspect_v the_o say_v book_n but_o not_o to_o write_v or_o transcribe_v any_o thing_n out_o of_o the_o same_o without_o a_o order_n of_o the_o say_v select_a committee_n and_o it_o be_v hereby_o agree_v that_o a_o transfer_v book_n or_o book_n shall_v at_o the_o common_a charge_n of_o the_o say_a proprietor_n be_v provide_v and_o keep_v by_o the_o say_a book-keeper_n wherein_o all_o such_o person_n or_o person_n establish_v a_o transfer-book_n establish_v who_o shall_v be_v from_o time_n to_o time_n interest_v in_o the_o say_a mine_n stock_n and_o premise_n shall_v and_o may_v from_o time_n to_o time_n and_o at_o all_o time_n hereafter_o during_o the_o say_a term_n transfer_v assign_v and_o set_v over_o their_o respective_a share_n and_o interest_n which_o they_o respective_o have_v or_o shall_v have_v therein_o by_o virtue_n of_o or_o according_a to_o the_o true_a intent_n and_o mean_v of_o these_o present_n to_o any_o person_n or_o person_n whatsoever_o and_o such_o person_n or_o person_n to_o who_o such_o share_n or_o share_n shall_v be_v so_o transfer_v assign_v and_o set_v over_o shall_v accept_v of_o such_o share_n or_o share_n upon_o the_o condition_n and_o subject_a to_o the_o covenant_n declaration_n and_o agreement_n herein_o contain_v and_o shall_v declare_v such_o his_o acceptance_n according_o transferr_v or_o assignment_n and_o that_o on_o such_o assignment_n or_o transferr_v and_o acceptance_n as_o aforesaid_a the_o person_n and_o person_n to_o who_o the_o same_o shall_v from_o time_n to_o time_n be_v so_o make_v as_o aforesaid_a shall_v be_v thereby_o entitle_v to_o so_o many_o share_n of_o the_o say_a stock_n mine_n and_o premise_n and_o proceed_v thereof_o respective_o during_o the_o say_a respective_a term_n as_o shall_v be_v so_o to_o he_o and_o they_o assign_v and_o transfer_v as_o aforesaid_a transfer-book_n no_o person_n to_o have_v any_o vote_n or_o dividend_n before_o transferr_v make_v and_o a_o acceptance_n thereupon_o in_o the_o say_a transfer-book_n but_o before_o such_o transferr_v and_o acceptance_n make_v and_o enter_v as_o aforesaid_a no_o assignee_n or_o assignee_n whatsoever_o shall_v have_v any_o vote_n in_o all_o or_o any_o the_o say_a meeting_n or_o any_o share_n or_o share_n or_o dividend_n of_o the_o profit_n of_o the_o say_a stock_n mine_n and_o premise_n any_o deed_n or_o other_o assignment_n or_o any_o thing_n herein_o to_o the_o contrary_a in_o any_o wise_n notwithstanding_o and_o for_o the_o better_a and_o more_o effectual_a manage_n and_o carry_v on_o the_o say_a mineral_n work_v and_o premise_n and_o for_o secure_v the_o say_a stock_n for_o the_o use_v of_o the_o same_o and_o also_o the_o gain_n profit_n and_o proceed_v thereof_o for_o the_o use_v herein_o mention_v it_o be_v further_a declare_v and_o agree_v by_o and_o between_o the_o say_a party_n to_o these_o present_n that_o a_o convenient_a house_n in_o the_o say_a book-keeper_n and_o cashkeeper_n shall_v dwell_v and_o inhabit_v and_o that_o there_o shall_v be_v provide_v at_o the_o common_a charge_n as_o aforesaid_a a_o strong_a iron_n chest_n with_o seven_o several_a lock_n and_o key_n to_o keep_v the_o say_a stock_n and_o profit_n of_o the_o premise_n or_o so_o much_o thereof_o as_o they_o shall_v think_v fit_a and_o as_o the_o same_o shall_v accrue_v arise_v and_o be_v receive_v and_o that_o all_o the_o say_a stock_n increase_n presence_n the_o stock_n to_o be_v keep_v in_o the_o iron_n chest_n or_o else_o in_o the_o bank_n of_o england_n and_o not_o in_o any_o private_a hand_n the_o 7_o key_n to_o be_v keep_v by_o 7_o of_o the_o committee_n and_o the_o chest_n never_o open_v but_o in_o their_o presence_n and_o profit_n
in_o these_o present_n to_o the_o contrary_a thereof_o contain_v in_o any_o wise_n notwithstanding_o m._n george_n london_n security_n to_o be_v assign_v to_o sir_n h._n m._n and_o it_o be_v hereby_o further_o agree_v that_o upon_o payment_n make_v to_o the_o say_v george_n london_n of_o all_o such_o money_n as_o shall_v appear_v to_o be_v just_o owe_v to_o he_o from_o the_o say_a partner_n by_o reason_n of_o and_o on_o account_n of_o the_o say_a mine_n he_o the_o say_v george_n london_n shall_v assign_v and_o transfer_v all_o his_o security_n for_o the_o same_o to_o the_o say_a sir_n humphrey_n mackworth_n oldbury_n a_o release_n to_o be_v give_v to_o mr._n phips_n and_o mr._n oldbury_n and_o further_o that_o in_o case_n the_o say_a thomas_n phipps_n and_o john_n oldbury_n shall_v and_o will_v seal_v and_o execute_v this_o present_a indenture_n within_o the_o time_n aforesaid_a and_o in_o case_n they_o or_o either_o of_o they_o shall_v pay_v or_o cause_n to_o be_v pay_v to_o the_o say_a sir_n humphrey_n mackworth_n within_o the_o space_n of_o twenty_o day_n next_o ensue_v the_o date_n of_o these_o present_n towards_o the_o discharge_n of_o the_o debt_n aforesaid_a all_o such_o sum_n and_o sum_n of_o money_n as_o be_v or_o shall_v be_v just_o owe_v from_o they_o or_o either_o of_o they_o the_o say_v john_n oldbury_n and_o thomas_n phipps_n to_o the_o say_a partner_n or_o any_o of_o they_o for_o or_o by_o reason_n of_o any_o trust_n matter_n or_o thing_n whatsoever_o relate_v to_o the_o say_a mine_n stock_n and_o premise_n or_o any_o of_o they_o which_o be_v
